Who this program is for š
Cherub's Founder-Led SPVĀ program is best for founders who fit the following criteria:Ā
Have an existing network interested in investing smaller checks (under $25K) with at least $45KĀ already committed
Are operating on at least 6 months of runway
Show strong traction and signs of product market fit
Can commit 8 weeks and either have or plan on launching an SPVĀ within 2 weeks of the program's start date
Haven't previously raised via an SPVĀ or crowdfunding campaign
Operate under a C-corp structure
Are comfortable making the program investment ($5,650) and any associated SPVĀ creation fees outside of the program (typically $4,500-$10,000 depending on the SPVĀ provider)

An SPV (Special Purpose Vehicle) can streamline your fundraising process by consolidating multiple investors into a single entity on your cap table. This not only simplifies shareholder management but also pools capital from diverse investors, increasing your investment potential. SPVs allow for efficient fundraising, as the lead investor manages communications and logistics. Additionally, they attract strategic investors who can offer valuable advice and connections.
What is the time commitment to raising with an SPV?
Very limited! During our 8 week program, we look to get your SPVĀ up and running within the 2nd week, get you pitching and promoting your fundraise by week 3, and (hopefully)Ā closed by week 6. Post SPV close, it will take about 4-8 weeks to fully close your SPVĀ and receive your funds.
Can you guarantee I will raise money?
No, there is no guarantee you will raise money, but we can say your chance of success will be higher as we have heard from our investors that a lower minimum is in demand.
What is special about Cherub SPVs to investors?
We do on an extremely limited basis by invitation only. Traditional SPV offerings take a 20% carry and 2%-10% management fee. The investors are forced to burden this, resulting in less equity and lower payout upon liquidation. Cherub is flipping the script, and we are providing SPVs with no carry and low management fees.
Our Founder Led SPVĀ Program is available via application and limited to a small group of founders (no more than 5 per cohort) who are curated intentionally and can help each other level up. The first cohorts launch in October.
